Parent–Producer Agreement An official agreement between the parents of the participant and Publish Art Productions Inc. / LUME Children's Film Studio GREEMENT * between Publish Art Productions Inc. and the parents of a child enrolled in the Children's Performing Arts Studio at LUME Children's Film Studio City of Edmonton, Province of Alberta, Canada 0. Introduction and Structure 0.1. Publish Art Productions Inc. (Alberta Corporate Access Number: 2027086343), is a registered production company operating in the Province of Alberta. 0.2. The company operates the LUME Children's Film Studio, which produces short films, music videos, concert programs, and other children's media projects. 0.3. Within the film studio, the Children's Performing Arts Studio (hereinafter referred to as the "Studio") provides regular classes for children aged 4 to 16. 0.4. This agreement is made between the Production Company and the parents of a child enrolled in the Studio. MM DD YYYY 1. Parties to the Agreement * 1.1. The Production Company Publish Art Productions Inc. (hereinafter referred to as the "Production Company"), represented by an authorized representative, on one side, and 1.2. Subject of the Agreement 2.1. The Production Company provides services through the Children's Performing Arts Studio, including: – classes in vocals, acting, stage movement, diction, and pop-dance; – 8 sessions per month, each lasting 45 minutes (twice a week). 2.2. The cost of services is CAD 150 per month plus applicable GST. 2.3. Each child may be invited to participate in professional projects of the Film Studio and the Production Company, including filming and audio recording, based on the interest of the child and consent of the parents. 2.4. Participation in such projects is entirely voluntary and requires signing a separate agreement (see Clause 5.4). 2.5. The obligations of the Producer Center to provide training and participation opportunities as described in this Agreement are valid only while the child’s tuition is fully paid and up to date. 3. Copyright 3.1. All rights to original songs, video clips, and other materials created as part of the projects belong to the Production Company. 3.2. Parents and the child do not have the right to claim authorship or property rights to such materials or to use them without the written consent of the Production Company. 4. Financial Terms 4.1. Payment shall be made monthly, no later than the 1st day of the month in which services are to be provided. 4.2. If the child participates in a project (with a signed separate agreement), rehearsals and preparation are provided free of charge. 4.3. If a jointly created product (e.g., song, video, concert/musical performance) generates income through streaming platforms, sales, or licensing, the parents (or the performer if over 18) will receive 5% of the net profit. 4.4. If the product is used in advertising, films, or other media and generates income, the payout will be 10% of the net profit. 4.5. Royalty terms will be additionally documented in a separate written agreement. 5. Participation in Projects and Consent for Use of Materials * 5.1. Parents wishing their child to participate in projects of the Production Company and the Film Studio must sign an additional clause (Clause 5.4) agreeing to the child’s participation in professional projects (filming, recording, concerts, etc.). 5.2. Before each specific project, parents will be informed and must sign a separate consent form for that particular project. 5.3. Parents who sign Clause 5.4 agree to the publication, broadcasting, promotion, and use of audio, video, and photo materials featuring the child for an unlimited period, provided that such use is not intended for profit. If the product is to be used for commercial purposes, a separate agreement shall be signed, setting out all conditions regarding profits, royalties, and rights of use. Materials may be used on any media platforms, including but not limited to: social media, television, radio, streaming platforms, and the Production Company's websites. 5.4. Responsibilities of the Parties 6.1. The Production Company agrees to provide a safe environment for classes and participation in projects. 6.2. Parents agree to: – pay for services on time; – comply with the Studio’s internal rules; – acknowledge that if a class is missed for any reason during a paid month, the fee is non-refundable. 6.3. The parent agrees to notify the Production Company in writing at least 14 calendar days before the intended date of termination. If no written notice is provided and the child stops attending or the parents stop making payments: – previously paid fees are non-refundable; – payment obligations remain for 14 days after the last attended session. 6.4. Parents accept full responsibility for the child’s health and safety while traveling to and from classes or events. 7. Term of the Agreement 7.1. This agreement becomes effective upon signing and remains valid until terminated in writing by either party with at least 14 calendar days’ notice. 8. Dispute Resolution 8.1. Any disputes under this agreement will be resolved through negotiation. 8.2. If a peaceful resolution is not possible, the dispute shall be submitted to the court in the Province of Alberta, Canada. 9. Other Conditions 9.1. Any changes or additions to this agreement are valid only in writing and with the consent of both parties. 9.2. This agreement is drawn up in English and is governed by the laws of Canada and the Province of Alberta. 10. Term of Agreement and Survivability of Terms 10.1. All obligations regarding intellectual property, publicity rights, consent to use image and voice, and confidentiality, shall remain in effect indefinitely and shall survive the termination or expiration of this Agreement. 11.
